Terms of Sale – Professional / B2B

1. Scope

These Terms of Sale apply to all quotations, offers, orders, invoices, deliveries and sales transactions between FormX and the B2B customer, unless otherwise agreed in writing.

By placing an order, requesting a quotation or accepting delivery of goods, the customer agrees to these Terms of Sale.

Any purchasing terms or general conditions of the customer are excluded, unless expressly accepted by FormX in writing.

2. Professional Use

Many products supplied by FormX are intended for professional, industrial or technical use only.

The customer confirms that they have the necessary knowledge, experience, equipment and facilities to handle, store, process and apply the purchased materials safely and correctly.

The customer is responsible for verifying:

  • suitability for the intended application;
  • compatibility with other materials;
  • processing conditions;
  • storage conditions;
  • local compliance requirements;
  • end-use suitability;
  • safe handling and disposal.

FormX strongly recommends that customers perform small-scale tests before using any product in full-scale production or final applications.

3. Prices

All prices are stated in Euro (€) and exclude VAT, shipping costs, import duties, customs charges and other taxes or costs, unless expressly stated otherwise.

Prices, product specifications, packaging sizes and availability may change without prior notice.

FormX reserves the right to correct obvious pricing errors, typographical errors or system errors, including after an order has been placed.

A quotation is valid only for the period stated in the quotation. If no validity period is stated, FormX may withdraw or amend the quotation at any time before written acceptance.

4. Orders and Order Acceptance

Orders are only binding once confirmed or accepted by FormX.

An automatic order confirmation generated by the webshop confirms receipt of the order but does not necessarily constitute final acceptance of the order.

FormX reserves the right to refuse, cancel or amend orders in case of:

  • stock unavailability;
  • incorrect pricing or product information;
  • transport restrictions;
  • dangerous goods limitations;
  • export restrictions;
  • payment issues;
  • suspected misuse of products;
  • other circumstances that make fulfilment unreasonable or impossible.

Any changes to an order must be agreed in writing.

5. Payment

Unless otherwise agreed in writing, invoices must be paid according to the payment terms stated on the invoice, quotation or order confirmation.

FormX reserves the right to require advance payment, partial payment or payment security before processing or shipping an order.

If payment is overdue, FormX may suspend further deliveries, cancel pending orders, charge statutory commercial interest and recover reasonable collection costs.

The customer may not withhold payment, offset amounts or suspend payment obligations without prior written agreement from FormX.

6. Delivery and Shipping

Delivery times are estimates only and are not binding unless expressly agreed in writing.

Delivery times may be affected by stock availability, supplier delays, production schedules, transport conditions, customs procedures, dangerous goods regulations, export restrictions, weather conditions, force majeure or other circumstances beyond the control of FormX.

Certain products may be subject to special shipping conditions, including but not limited to:

  • ADR / dangerous goods transport regulations;
  • limited quantity transport rules;
  • export restrictions;
  • temperature-sensitive shipping requirements;
  • limited air freight availability;
  • carrier restrictions;
  • restrictions for remote areas, islands or specific countries.

FormX cannot be held liable for delays caused by carriers, customs authorities, suppliers or force majeure events.

Unless otherwise agreed in writing, risk transfers to the business customer when the goods are handed over to the carrier.

7. Inspection Upon Delivery

The customer must inspect all goods immediately upon receipt.

Visible damage, shortages, incorrect deliveries or transport damage must be reported to FormX in writing within 48 hours after delivery.

The customer must keep all packaging materials and provide photographs or other evidence if requested.

Failure to report visible issues within this period may limit or exclude the customer’s right to claim replacement, credit or compensation.

Use, processing, mixing or resale of the product may constitute acceptance of the goods, unless the issue concerns a hidden defect that could not reasonably have been discovered upon inspection.

8. Returns

Due to the professional, chemical and technical nature of many products supplied by FormX, returns are only accepted with prior written approval from FormX.

Opened, used, mixed, damaged, contaminated, expired, partially consumed or incorrectly stored products cannot be returned.

Products may also be excluded from return if they are:

  • custom-made;
  • specially ordered;
  • hazardous;
  • temperature-sensitive;
  • short shelf-life products;
  • non-stock items;
  • products with broken seals;
  • products that cannot safely or commercially be resold.

Approved returns must be sent back in original, unopened and resalable condition.

Return shipping costs are borne by the customer, unless otherwise agreed in writing.

FormX may charge restocking or handling fees for approved returns.

No return is accepted without a return authorization from FormX.

9. Product Suitability and Technical Responsibility

The customer is solely responsible for determining whether a product is suitable for the intended application.

Technical advice, product recommendations, processing suggestions or application guidance provided by FormX are based on manufacturer information, practical experience and the information provided by the customer.

Such advice does not constitute a guarantee of performance, suitability or final result.

Results may vary depending on, among other things:

  • temperature;

  • layer thickness;
  • curing conditions;
  • user experience;
  • compatibility with other materials.

The customer must perform their own compatibility tests and production trials before using the product for final production, commercial projects, medical simulation, architectural applications, restoration work, industrial production or other critical uses.

10. Technical Documentation and Safety Information

Technical Data Sheets, Safety Data Sheets and other product documentation are available through product pages or upon request where applicable.

The customer is responsible for reading and following all available product documentation before use.

The customer is responsible for:

  • safe handling of materials;
  • correct storage;
  • use of suitable personal protective equipment;
  • ventilation and workplace safety;
  • compliance with local laws and regulations;
  • safe disposal of waste and packaging;
  • training of staff and users.

FormX is not liable for damage resulting from failure to follow technical documentation, safety instructions or applicable regulations.

11. Storage, Shelf Life and Batch Variation

The customer is responsible for storing all products according to the instructions provided in the relevant TDS, SDS, label or manufacturer documentation.

Shelf life applies only to unopened products stored under recommended conditions.

Incorrect storage, exposure to heat, cold, humidity, contamination or opened packaging may affect product performance.

Minor variations between batches may occur in colour, viscosity, curing time, hardness, density, appearance or other technical properties, within reasonable manufacturing tolerances.

The customer is responsible for checking batch suitability before production.

12. Hazardous Materials and Restricted Products

Some products supplied by FormX may be classified as hazardous, restricted, flammable, corrosive, sensitising or otherwise regulated.

The customer is responsible for ensuring that they are legally permitted to purchase, transport, store, use and dispose of such products.

FormX may refuse or cancel orders where transport, export, storage or end-use restrictions apply.

The customer is responsible for compliance with all local, national and international laws and regulations relating to hazardous materials.

13. Limitation of Liability

FormX shall not be liable for indirect, incidental or consequential damages, including but not limited to:

production losses; loss of profit; loss of business; project delays; damage to molds, masters, tools or equipment; failed applications; incorrect processing; misuse of materials; loss caused by unsuitable end-use.

To the maximum extent permitted by law, FormX’s total liability shall never exceed the invoice value of the goods supplied in relation to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law, including liability for intent, gross negligence or mandatory product liability.

14. Retention of Title

All goods remain the property of FormX until full payment of all amounts due has been received.

Until ownership has transferred, the customer may not pledge, transfer ownership of, resell outside the normal course of business, modify or dispose of the goods in a way that could prejudice the rights of FormX.

If the customer fails to pay, FormX is entitled to reclaim unpaid goods, insofar as permitted by law.

15. Intellectual Property and Product Information

All trademarks, product names, technical documents, images, descriptions, manuals and other materials remain the property of FormX, its suppliers or the relevant rights holders.

The customer may not copy, reproduce, modify or use such materials for commercial purposes without prior written permission, except where necessary for normal product use.

Product images, descriptions and specifications are provided for information purposes and may be subject to change.

FormX shall not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control.

Force majeure includes, but is not limited to:

  • supplier delays;
  • transport disruption;
  • strikes;

  • flooding;
  • extreme weather;
  • war;

In such cases, FormX may suspend, delay, amend or cancel the order without liability.

17. Governing Law and Jurisdiction

All agreements, quotations, orders, invoices and sales transactions are governed exclusively by Dutch law.

Any disputes arising from or relating to agreements with FormX shall be submitted to the competent court in Amsterdam, The Netherlands, unless mandatory law provides otherwise.

18. Final Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force.

The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the original commercial intention.
