Terms of Sale

European Shop Consumers (B2C) and Professionals (B2B)

These Terms contain two separate parts. Part A applies to Consumers / B2C. Part B applies to Professional and Businesses / B2B.

Please read the part that applies to your purchase.

Terms of Sale — Consumers / B2C

1. Scope

These terms apply to purchases made through the FormX European online shop by a natural person acting for purposes outside that person’s trade, business, craft or profession.

If the purchase is made mainly for professional use, the Professional / B2B Terms apply.

Nothing in these terms excludes or limits mandatory consumer rights.

2. Seller details

FormX B.V. Kombuisweg 7 1041 AV Amsterdam The Netherlands

Chamber of Commerce: 86021982 VAT number: NL863835417B01 Email: info@formx.eu Telephone: +31 20 418 2105 Website: https://www.formx.eu

3. Products

FormX supplies technical and creative materials for mould-making, casting, sculpting, composites, prototyping, special effects and related applications.

Certain products are chemical, hazardous, temperature-sensitive, perishable or subject to transport restrictions.

Product images are illustrative. FormX takes reasonable care to describe its products accurately. Minor differences in colour, appearance or between production batches may occur, provided that these differences do not affect the product’s conformity with the contract.

Availability shown in the online shop is subject to change. If an ordered product is unavailable, FormX will inform the customer and refund any amount paid for that product

4. Technical information and safety

Before ordering and using a product, the customer must read the product page, label, instructions and, where applicable, the current technical data sheet and safety data sheet.

The customer must assess whether the product is suitable for the intended application and must use suitable ventilation, protective equipment and other safety measures where required.

FormX recommends carrying out a small-scale compatibility and curing test before using a product in a final project.

Results may be affected by factors including temperature, humidity, substrate, mixing accuracy, processing time, ventilation, storage conditions, contamination, compatibility with other materials and the customer’s working method.

Nothing in this section limits FormX’s obligation to supply products that conform to the contract or to provide information required by law.

5. Prices

Consumer prices are shown in euros and include VAT unless clearly stated otherwise.

Delivery charges and any other unavoidable additional charges are shown before the customer submits the order.

FormX may correct an obvious pricing, calculation or product-information error before accepting an order. In that case, the customer may confirm the order at the corrected price or cancel it and receive a full refund.

6. Placing an order

The customer places an order by completing the checkout process and using the button that clearly indicates that the order creates an obligation to pay.

Before submitting the order, the customer can review and correct the information entered.

An automatically generated order acknowledgement confirms that FormX has received the order. It does not necessarily mean that FormX has accepted it.

The contract is formed when FormX expressly accepts the order or dispatches the products, whichever occurs first.

FormX may decline or cancel an order if:

  • a product is unavailable;
  • payment is not authorised or received;
  • the product cannot lawfully or safely be shipped to the selected destination;
  • an obvious pricing or product-information error has occurred;
  • FormX reasonably suspects fraud, misuse or unlawful activity;
  • the customer has provided incomplete or incorrect information that prevents fulfilment of the order.

If FormX does not accept or cancels an order, any amount paid for undelivered products will be refunded.

7. Payment

Payment can be made using the methods displayed during checkout.

Payment is due when the order is placed unless the checkout, order confirmation or another written agreement expressly states otherwise.

The customer must provide complete and accurate billing information.

Payment processing may be carried out by an external payment provider. The provider’s own terms and privacy information may also apply to the payment transaction.

8. Shipping and delivery

FormX delivers to the European destinations made available during checkout.

The European shop currently does not deliver to the United Kingdom, Switzerland or Norway. Restrictions may also apply to islands, remote areas and particular countries or regions.

Certain products may be subject to special transport requirements or restrictions, including:

  • ADR and dangerous-goods regulations;
  • limited-quantity requirements;
  • restrictions on air transport;
  • temperature-controlled transport;
  • carrier-specific restrictions;
  • restrictions concerning islands or remote areas.

Available delivery methods, delivery costs and estimated delivery times are shown during checkout or in the order confirmation.

Unless another delivery period has been agreed, FormX will deliver without undue delay and within the period required by applicable consumer law.

Delivery times are estimates unless FormX expressly confirms a fixed delivery date. Delivery may be affected by stock availability, dangerous-goods requirements, carrier delays, weather conditions, public holidays, border controls and events outside FormX’s reasonable control.

If FormX cannot ship a product to the selected destination, FormX will inform the customer. FormX may offer a suitable alternative, remove the affected product from the order, or cancel and refund the affected part of the order.

If delivery is delayed, the customer has the remedies provided by applicable consumer law. These may include the right to request delivery within an appropriate additional period and, where legally permitted, to terminate the contract and receive a refund.

The customer must provide a complete and accurate delivery address and reasonable access for delivery. FormX may charge reasonable additional costs caused by an incorrect address, failed delivery or unjustified refusal of delivery, where permitted by law.

The risk of loss or damage passes to the customer when the customer, or a third party designated by the customer other than the carrier, physically receives the products.

If the customer independently appoints a carrier that was not offered by FormX, risk may pass when the products are handed to that carrier, where permitted by law.

9. Inspection of the order on delivery

The customer should inspect the parcel and products promptly after delivery.

Visible transport damage, missing products or incorrect products should be reported to FormX as soon as reasonably possible by emailing info@formx.eu.

The customer should, where possible, include:

  • the order number;
  • a description of the problem;
  • photographs of the parcel;
  • a photograph of the shipping label;
  • photographs of the damaged, missing or incorrect products.

Prompt reporting helps FormX investigate the matter with the carrier. It does not remove, limit or shorten the customer’s statutory rights.

10. Right of withdrawal

Subject to the statutory exceptions described below, the customer may withdraw from an online purchase without giving a reason within 14 calendar days.

The withdrawal period starts on the day after the customer, or a third party designated by the customer other than the carrier, physically receives the products.

For an order containing multiple products delivered separately, the withdrawal period starts after receipt of the last product, lot or piece where required by applicable law.

To exercise the right of withdrawal, the customer must send FormX an unequivocal statement before the withdrawal period expires.

The customer may withdraw:

  • through the online withdrawal function on the website;
  • through the contact form;
  • by emailing info@formx.eu;
  • by using the model withdrawal form.

The website’s withdrawal function should is labelled:

Withdraw from the contract here

The confirmation button is labelled:

Confirm withdrawal

The online withdrawal form requests:

  • the customer’s name;
  • the customer’s email address;
  • the order number;
  • the affected product or products.

The customer may provide a reason for the withdrawal, but this is optional and not required.

After an online withdrawal is submitted, FormX will send an acknowledgement by email without undue delay. The acknowledgement will record the content of the withdrawal and the date and time on which it was received.

The customer should include the order number where possible. Failure to include an order number does not invalidate a clear and timely withdrawal if FormX can identify the relevant contract.

The customer may use the model withdrawal form, but its use is not compulsory.

11. Returning products after withdrawal

After notifying FormX of the withdrawal, the customer must return the products without undue delay and no later than 14 calendar days after the withdrawal notification was sent.

FormX will provide the applicable return address and any necessary packing, transport or safety instructions.

Products must be packaged carefully and safely. Where reasonably possible, the customer should return them in their original packaging with their original labels, closures, safety information and accompanying documentation.

The customer bears the direct cost of returning the products unless:

  • FormX has agreed to pay the return cost;
  • FormX failed to disclose that the customer would bear this cost where disclosure was legally required;
  • the return concerns an incorrect product;
  • the product was damaged on delivery;
  • the product is defective or otherwise not in conformity with the contract.

Chemical, hazardous, regulated or temperature-sensitive products must be packed and transported lawfully and safely.

The customer must contact FormX before returning such products and follow reasonable safety and transport instructions. These instructions will not be used to make the statutory right of withdrawal impossible or excessively difficult.

The customer is liable only for diminished value caused by handling that goes beyond what is necessary to establish the nature, characteristics and functioning of the products.

Any deduction for diminished value will be based on the actual reduction in value and assessed individually. FormX will not automatically deduct the full product price merely because the packaging has been opened.

With technical or chemical products, unnecessary opening, use, mixing, contamination, partial consumption, unsafe storage or damage to a protective seal may cause substantial diminished value.

12. Refund

These Terms of Sale apply to all quotations, offers, orders, invoices, deliveries and sales transactions between FormX and the B2B customer, unless otherwise agreed in writing.

By placing an order, requesting a quotation or accepting delivery of goods, the customer agrees to these Terms of Sale.

Any purchasing terms or general conditions of the customer are excluded, unless expressly accepted by FormX in writing.

2. Professional Use

Many products supplied by FormX are intended for professional, industrial or technical use only.

The customer confirms that they have the necessary knowledge, experience, equipment and facilities to handle, store, process and apply the purchased materials safely and correctly.

The customer is responsible for verifying:

  • suitability for the intended application;
  • compatibility with other materials;
  • processing conditions;
  • storage conditions;
  • local compliance requirements;
  • end-use suitability;
  • safe handling and disposal.

FormX strongly recommends that customers perform small-scale tests before using any product in full-scale production or final applications.

3. Prices

All prices are stated in Euro (€) and exclude VAT, shipping costs, import duties, customs charges and other taxes or costs, unless expressly stated otherwise.

Prices, product specifications, packaging sizes and availability may change without prior notice.

FormX reserves the right to correct obvious pricing errors, typographical errors or system errors, including after an order has been placed.

A quotation is valid only for the period stated in the quotation. If no validity period is stated, FormX may withdraw or amend the quotation at any time before written acceptance.

4. Orders and Order Acceptance

Orders are only binding once confirmed or accepted by FormX.

An automatic order confirmation generated by the webshop confirms receipt of the order but does not necessarily constitute final acceptance of the order.

FormX reserves the right to refuse, cancel or amend orders in case of:

  • stock unavailability;
  • incorrect pricing or product information;
  • transport restrictions;
  • dangerous goods limitations;
  • export restrictions;
  • payment issues;
  • suspected misuse of products;
  • other circumstances that make fulfilment unreasonable or impossible.

Any changes to an order must be agreed in writing.

5. Payment

Unless otherwise agreed in writing, invoices must be paid according to the payment terms stated on the invoice, quotation or order confirmation.

FormX reserves the right to require advance payment, partial payment or payment security before processing or shipping an order.

If payment is overdue, FormX may suspend further deliveries, cancel pending orders, charge statutory commercial interest and recover reasonable collection costs.

The customer may not withhold payment, offset amounts or suspend payment obligations without prior written agreement from FormX.

6. Delivery and Shipping

Delivery times are estimates only and are not binding unless expressly agreed in writing.

Delivery times may be affected by stock availability, supplier delays, production schedules, transport conditions, customs procedures, dangerous goods regulations, export restrictions, weather conditions, force majeure or other circumstances beyond the control of FormX.

Certain products may be subject to special shipping conditions, including but not limited to:

  • ADR / dangerous goods transport regulations;
  • limited quantity transport rules;
  • export restrictions;
  • temperature-sensitive shipping requirements;
  • limited air freight availability;
  • carrier restrictions;
  • restrictions for remote areas, islands or specific countries.

FormX cannot be held liable for delays caused by carriers, customs authorities, suppliers or force majeure events.

Unless otherwise agreed in writing, risk transfers to the business customer when the goods are handed over to the carrier.

7. Inspection Upon Delivery

The customer must inspect all goods immediately upon receipt.

Visible damage, shortages, incorrect deliveries or transport damage must be reported to FormX in writing within 48 hours after delivery.

The customer must keep all packaging materials and provide photographs or other evidence if requested.

Failure to report visible issues within this period may limit or exclude the customer’s right to claim replacement, credit or compensation.

Use, processing, mixing or resale of the product may constitute acceptance of the goods, unless the issue concerns a hidden defect that could not reasonably have been discovered upon inspection.

8. Returns

Due to the professional, chemical and technical nature of many products supplied by FormX, returns are only accepted with prior written approval from FormX.

Opened, used, mixed, damaged, contaminated, expired, partially consumed or incorrectly stored products cannot be returned.

Products may also be excluded from return if they are:

  • custom-made;
  • specially ordered;
  • hazardous;
  • temperature-sensitive;
  • short shelf-life products;
  • non-stock items;
  • products with broken seals;
  • products that cannot safely or commercially be resold.

Approved returns must be sent back in original, unopened and resalable condition.

Return shipping costs are borne by the customer, unless otherwise agreed in writing.

FormX may charge restocking or handling fees for approved returns.

No return is accepted without a return authorization from FormX.

9. Product Suitability and Technical Responsibility

The customer is solely responsible for determining whether a product is suitable for the intended application.

Technical advice, product recommendations, processing suggestions or application guidance provided by FormX are based on manufacturer information, practical experience and the information provided by the customer.

Such advice does not constitute a guarantee of performance, suitability or final result.

Results may vary depending on, among other things:

  • temperature;
  • humidity;
  • substrate;
  • surface preparation;
  • mixing accuracy;
  • processing time;
  • equipment;
  • storage history;
  • batch variation;
  • layer thickness;
  • curing conditions;
  • user experience;
  • compatibility with other materials.

The customer must perform their own compatibility tests and production trials before using the product for final production, commercial projects, medical simulation, architectural applications, restoration work, industrial production or other critical uses.

10. Technical Documentation and Safety Information

Technical Data Sheets, Safety Data Sheets and other product documentation are available through product pages or upon request where applicable.

The customer is responsible for reading and following all available product documentation before use.

The customer is responsible for:

  • safe handling of materials;
  • correct storage;
  • use of suitable personal protective equipment;
  • ventilation and workplace safety;
  • compliance with local laws and regulations;
  • safe disposal of waste and packaging;
  • training of staff and users.

FormX is not liable for damage resulting from failure to follow technical documentation, safety instructions or applicable regulations.

11. Storage, Shelf Life and Batch Variation

The customer is responsible for storing all products according to the instructions provided in the relevant TDS, SDS, label or manufacturer documentation.

Shelf life applies only to unopened products stored under recommended conditions.

Incorrect storage, exposure to heat, cold, humidity, contamination or opened packaging may affect product performance.

Minor variations between batches may occur in colour, viscosity, curing time, hardness, density, appearance or other technical properties, within reasonable manufacturing tolerances.

The customer is responsible for checking batch suitability before production.

12. Hazardous Materials and Restricted Products

Some products supplied by FormX may be classified as hazardous, restricted, flammable, corrosive, sensitising or otherwise regulated.

The customer is responsible for ensuring that they are legally permitted to purchase, transport, store, use and dispose of such products.

FormX may refuse or cancel orders where transport, export, storage or end-use restrictions apply.

The customer is responsible for compliance with all local, national and international laws and regulations relating to hazardous materials.

13. Limitation of Liability

FormX shall not be liable for indirect, incidental or consequential damages, including but not limited to:

production losses; loss of profit; loss of business; project delays; damage to molds, masters, tools or equipment; failed applications; incorrect processing; misuse of materials; loss caused by unsuitable end-use.

To the maximum extent permitted by law, FormX’s total liability shall never exceed the invoice value of the goods supplied in relation to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law, including liability for intent, gross negligence or mandatory product liability.

14. Retention of Title

All goods remain the property of FormX until full payment of all amounts due has been received.

Until ownership has transferred, the customer may not pledge, transfer ownership of, resell outside the normal course of business, modify or dispose of the goods in a way that could prejudice the rights of FormX.

If the customer fails to pay, FormX is entitled to reclaim unpaid goods, insofar as permitted by law.

15. Intellectual Property and Product Information

All trademarks, product names, technical documents, images, descriptions, manuals and other materials remain the property of FormX, its suppliers or the relevant rights holders.

The customer may not copy, reproduce, modify or use such materials for commercial purposes without prior written permission, except where necessary for normal product use.

Product images, descriptions and specifications are provided for information purposes and may be subject to change.

16. Force Majeure

FormX shall not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control.

Force majeure includes, but is not limited to:

  • supplier delays;
  • transport disruption;
  • strikes;
  • fire;
  • flooding;
  • extreme weather;
  • war;
  • pandemics;
  • government restrictions;
  • customs delays;
  • energy shortages;
  • production interruptions;
  • cyber incidents;
  • dangerous goods transport limitations.

In such cases, FormX may suspend, delay, amend or cancel the order without liability.

17. Governing Law and Jurisdiction

All agreements, quotations, orders, invoices and sales transactions are governed exclusively by Dutch law.

Any disputes arising from or relating to agreements with FormX shall be submitted to the competent court in Amsterdam, The Netherlands, unless mandatory law provides otherwise.

18. Final Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force.

The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the original commercial intention.

FormX may amend these Terms from time to time. The version applicable at the time of order acceptance shall apply to the relevant transaction.
